These Terms of Use ("Terms") govern your access and usage of the TaskBump service, website, API, email service, or mobile applications (collectively, the "Service"), a product of TaskBump, LLC ("TaskBump", "we"). Your use the of the Service is subject to these Terms.

Use of Service

By accessing or using the Service in any manner, you agree to be bound by these Terms.

If you are accessing the Service on behalf of an organization, you represent and warrant that you have the authority to agree to these Terms on its behalf.

You assert that you will use the Service only in compliance with local, state, national, and international laws & regulations. You may only use the service if you can form a binding contract.

You must be at least 13 years of age to use the Service.

TaskBump reserves the right to change the eligibility requirements for user of the Service at any time.

Account

You agree to provide accurate information for the creation of your account, and to keep this information current & correct. In order to create & maintain an account, you must provide us with a valid email address, your full name, and a userid. You are responsible for maintaining the security of your password & account.

Each account is to be used by a single person only; you may not share logins.

Content

The Service allows you to create cases and tasks with descriptions, post comments, send emails, upload images & files, track time, vote for ("bump") cases, and create other forms of digital content (collectively, "Content").

You retain ownership of the Content you create, but you understand that other users that have been granted access to the same content may share, copy, modify, or remove this Content. TaskBump takes no responsibility for these actions. Consider carefully what content you decide to publish to the Service.

You agree to not post Content that might cause harm or offense, Content that you are not legally permitted to post, nor information you know to be incorrect. You agree that your Content does not & will not violate any intellectual property rights, privacy rights, or other laws.

You agree to grant TaskBump a non-exclusive, worldwide, irrevocable, perpetual, royalty-free, transferable, license to use, copy, reproduce, modify, display, transmit, store, edit, distribute, and publish your Content.

We reserve the right, but are not obligated, to remove or refuse to distribute Content. We reserve right to provide Content as necessary to comply with legal requirements.

You agree that access to Content is not guaranteed, and that there may be periods where Content is not accessible.

You will not license, sell, rent, or otherwise use Content for commercial purposes or in any way that violates any third party rights.

Privacy

We collect, use, and share personally identifiable information and non-personally identifiable information according to our Privacy Policy. By using this service you agree to the conditions of our Privacy Policy.

Property & Copyright

Use of the Service grants you no right to use the TaskBump name, logo, or branding in any way.

The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. TaskBump and its licensors exclusively own all right, title and interest in and to the Service, including all associated intellectual property rights.

By using TaskBump, you agree to allow us to use your name and/or logo in marketing materials about TaskBump. You can opt-out of this at any time by emailing us at support@taskbump.com.

Acceptable Use

TaskBump is a personal, social, & professional productivity tool. It is to be used to capture content & ideas and to enable collaboration.

The Service may not be used to:

• promote illegal activities
• harm minors in any way
• link to harmful or offensive material
• upload harmful or offensive images or files
• impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity
• post content that you have no right to post under law or contract
• upload any content that infringes on trademark, patent, or copyright
• send commercial email known as spam

You agree that you will not scan, test, or probe the Service for security vulnerabilities. You agree that you will not interfere or disrupt the Service or servers or networks connected to the service.

We reserve the right to terminate or suspend your account at any time without further warning in the event that, at our sole discretion & judgement, you violate these Terms or abuse the Service.

Pricing & Payment

Some or all of the Service may be provided free of charge. We reserve the right to begin charging a fee in exchange for access to and usage of any parts or all of the Service, at any time, without further notice.

Changes in pricing & your choice of a service plan, or refusal to select a plan, may result in the loss of or denial of access to Content, TaskBump does not accept liability for such loss of or inability to access Content.

Indemnification

You agree to hold harmless, defend, and indemnify TaskBump and its owners, agents, officers, employees, and affliates from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the Service, including but not limited to your violation of this Agreement.

Modifications

TaskBump reserves the right to revise these Terms at any time and from time to time, and to modify or discontinue, teporarily or permanently, the Service with or without notice, at any time. In the event of significant changes, you may, at our discretion, be notified of the changes by email, and you may be prompted to accept the updated Terms in order to continue using the Service. By continuing to use the Service, you agree to be bound by the revised Terms.

No Warranty

You understand that the service is provied "as-is" and TaskBump expressly disclaimes all warranties of any kind, implied or statutory, including but not limited to TaskBump makes no warranty that the Service will meet your requirements, be free of malfunction or errors, be available on an uninterrupted basis, be free of malicious content. content downloaded at own risk TaskBump is not not responsible for loss of data, or damage to your computer systems or devices as a result of use of the Service. We do not endorse, guarantee, warrant, or assume responsibility for any thrid party product or service that is advertised or offered though the use of our Service

Limitation of Liability

You acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising out of your access to and use of the Service remains with you. Neither TaskBump nor any other party will be liable for any incidental, special, punitive, exemplary or consequential damages (including lost profits, loss of data or loss of goodwill), or for the cost of procuring substitute services arising out of or in connection with this agreement or from the use of or inability to use the taskbump client application or the service, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not TaskBump has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose.
